Definitions:
‘EPD’ means Effective Personnel Development.
‘Client’ means the person, firm, or corporate body requiring
the services of EPD.
‘Venue’ means the place where the consultancy or training will
take place.
When EPD undertakes to carry out consultancy or
training, these conditions will be included within the agreement
between EPD and the Client Company.
1. The Client Company accepts the obligation, that in addition to
the agreed fee, to meet all expenses including:

Return travel by car at the current rate
including any local mileage incurred by the EPD consultant
travelling to and from the venue; or first class rail travel, plus
relevant taxi fares; or air travel for consultancy or training in
Scotland, the North-East or overseas.

The provision of all meals consumed at normal
times by the EPD consultant when travelling to or from the venue, or
whilst at such a venue.

The securing of hotel accommodation for the EPD
consultant and the settling of the account direct with the hotel.
Except that any items of personal spend, including telephone calls
and drinks, will be paid personally by the EPD consultant. Hotel
accommodation for the night before, mid-consultancy or training
nights and final nights are usually necessary.

The provision of any equipment which may be
required at the venue which could include OHP, screen; overhead
slide projector; flip-board; flip-charts; CCTV; et al.

The cost of providing any video that may be
required at the venue.

If the EPD consultant travels by train or air,
the cost of sending in advance and return, by Securicor delivery,
any documentation or materials that the EPD consultant is asked or
expected to provide whilst at the venue.

The recovery of any cost involved in securing
any particular documentation or course materials beyond that which
it is normal practice of EPD to include in its fee. Such materials
may include direct copy sets, acetates, bought in publications, et
al.
2. EPD reserves the right to substitute
for any nominated consultant if that consultant should not be
available for whatever reason. In extreme cases, such as accident or
sudden illness, if the nominated or substitute consultant is not
available, EPD reserves the right to re-schedule the consultancy or
training activity to a time convenient for the Client, without loss
or cost to EPD.
3. Should a Client cancel or postpone a consultancy or training
commitment less than 30 days before it is to commence the full fee
remains payable unless EPD is able to secure a substitute
consultancy or training commitment for that same period for the
nominated EPD consultant.
4. Terms for payment: EPD will invoice Clients
for fees and expenses at the conclusion of each consultancy or
training activity, except that when the consultancy or training
activity extends beyond the end of the calendar month, Clients will be
invoiced monthly for the fees and expenses which are attributable to
the work carried out in that month. All accounts are payable within 30
days of the date of the invoice.
5. No part of publications or documents published
by EPD may be reproduced, stored in a retrieval system or
transmitted in any form or by any means electronic, mechanical,
recording or otherwise without the prior permission by EPD. Nor may
publications or documents published by EPD, by trade or otherwise,
be lent, resold, hired or otherwise circulated without prior
permission of EPD. All rights reserved. Copyright © EPD 1990 and
ongoing. Publications and documents issued by EPD may only be used
by the Client for the specific Business Unit specified in the
contract documents. The Client may not use the publications or
documents for other Business Units within or without its organization
without prior permission of EPD.
6. Whilst every effort is made to ensure that
advice given by an EPD consultant is correct no responsibility can
be accepted by EPD or any of its consultants or agents for loss or
cost however incurred by a Client taking EPD advice. It is the
Client’s responsibility to ensure they satisfy themselves that any
course of action taken as a result of EPD advice is in their best
interest, legal or otherwise.
